Independent Contractor Agreement
Effective date: November 18, 2025
Parties. This Independent Contractor Agreement (“Agreement”) is between Wipedown (“Company”) and the individual applying to provide vehicle washing services (“Contractor”).
1. Relationship of the Parties
Contractor is an independent contractor, not an employee, agent, joint venturer, or partner of Company. Contractor controls the manner and means of performing services, including when and where to work and which offers to accept.
2. Services & Platform Access
Company provides a marketplace and tools for connecting Contractors with customers seeking washing services. Contractor may accept or reject opportunities at their discretion and is solely responsible for service quality and compliance with applicable laws.
3. Compensation
Contractor will receive the displayed payout for accepted jobs, less any disclosed platform fees. Contractor receives 100% of customer tips processed through the platform. Payouts are made via Stripe subject to Stripe’s onboarding and eligibility requirements.
4. Expenses & Equipment
Contractor furnishes all tools, supplies, and equipment and bears all expenses necessary to perform the services, unless otherwise stated in writing.
5. Insurance
Contractor is responsible for maintaining any insurance appropriate to their business and vehicle. Certain job tiers may require proof of coverage.
6. Quality, Photos & Checklists
To protect both parties, Contractor agrees to follow job checklists and capture required photos before and after service. Failure to meet minimum standards may affect ratings or marketplace access.
7. Background Check & Compliance
Where permitted by law and required by Company, Contractor authorizes a background check solely to confirm eligibility to contract on the platform. Contractor must comply with applicable laws and local regulations.
8. Confidentiality & Data
Contractor agrees not to disclose non-public information obtained through the platform. Contractor will handle customer information responsibly and in accordance with Company policies.
9. Intellectual Property
Company retains rights in its app, brand, and materials. Contractor retains rights in their business name, methods, and know-how, subject to this Agreement.
10. Term & Termination
This Agreement begins on acceptance and continues until terminated by either party for any reason, with or without notice, subject to completion of any accepted jobs and applicable policy requirements.
11. Dispute Resolution
Disputes will be resolved through good-faith negotiation. If unresolved, the parties agree to binding arbitration on an individual basis where permitted by law. Nothing precludes small-claims court.
12. Governing Law
This Agreement is governed by the laws of the state where the service is performed, without regard to conflict-of-laws principles.
13. Entire Agreement; Updates
This Agreement, together with in-app policies referenced herein, constitutes the entire agreement. Company may update this Agreement by posting a revised version; continued use after notice constitutes acceptance.
By proceeding with signup or by accepting jobs in the app, you acknowledge that you have read and agree to this Independent Contractor Agreement.
